1. Acceptance of Terms

By accessing or using the Revelo platform and services ("Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Services. These Terms apply to all visitors, users, and others who access or use the Services.

2. Description of Services

Revelo provides an AI-powered qualitative research platform that enables users to design studies, recruit participants, conduct AI-moderated interviews, and analyze research data. The Services include but are not limited to the web application, APIs, AI moderation engine, participant recruitment tools, and automated analysis features.

3. Account Registration

To use certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

4. Acceptable Use

You agree not to use the Services to: (a) violate any applicable laws or regulations; (b) infringe upon the rights of others; (c) collect or harvest personal information of research participants without proper consent; (d) transmit any malicious code, viruses, or harmful content; (e) interfere with or disrupt the integrity or performance of the Services; (f) attempt to gain unauthorized access to the Services or related systems.

5. Research Data and Intellectual Property

You retain all rights to the research data you create, collect, and process through our Services. Revelo does not claim ownership of your research data, discussion guides, or analysis outputs. We will not use your research data to train our AI models without your explicit consent. Revelo retains all rights to the platform, technology, and AI models that power the Services.

6. Participant Data and Privacy

When conducting research through our platform, you are responsible for ensuring that participant consent is obtained in accordance with applicable laws and regulations. You agree to use participant data only for legitimate research purposes and in compliance with our Privacy Policy and Study Privacy Policy. Revelo acts as a data processor on your behalf for research participant data.

7. Payment Terms

Certain features of the Services require payment. You agree to pay all fees associated with your use of the Services as described in your subscription agreement or order form. Fees are non-refundable except as expressly set forth in these Terms. We reserve the right to change our pricing with 30 days' written notice.

8. Service Level Agreement

Revelo will use commercially reasonable efforts to maintain the availability of the Services. Planned maintenance windows will be communicated in advance. In the event of unplanned downtime, Revelo will work diligently to restore service. Specific uptime commitments and remedies may be set forth in your enterprise agreement.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Revelo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Services.

10. Indemnification

You agree to indemnify, defend, and hold harmless Revelo and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any third-party rights.

11. Termination

Either party may terminate these Terms at any time by providing written notice. Upon termination, your right to access and use the Services will immediately cease. Revelo will make your research data available for export for 30 days following termination, after which it may be deleted. Provisions that by their nature should survive termination shall survive.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such modifications constitutes your acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in New York County, New York.
